AGREEMENT OF PURCHASE AND SALE THIS AGREEMENT OF PURCHASE AND SALE (this "Agreement") is made and entered into by and between R.B.R.&S.T. LIMITED PARTNERSHIP, a North Carolina limited partnership, ("Seller"), and DEVELOPMENT OPTIONS, INC., a Wyoming Corporation ("Purchaser"), as of the "Effective Date" (as hereinafter defined). W I T N E S S E T H: For and in consideration of the mutual covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto, intending to be legally bound, do hereby agree as follows: Article 1.
