THIS UNDERWRITING AGREEMENT made the 16th day of February 2010 by and between EPIPHANY FUNDS, an Ohio business trust, having its principal office and place of business at 2214 Michigan Ave., Suite E, Arlington, Texas 76013 (the “Trust”), and NORTHERN LIGHTS DISTRIBUTORS, LLC, a Nebraska limited liability company having its principal office and place of business at 4020 South 147th Street, Omaha, Nebraska 68137 (“NLD”).

You have engaged us to act as the investment adviser to the Epiphany FFV Fund, Epiphany FFV Focused Fund, Epiphany FFV Strategic Income Fund and Epiphany Large Cap Core Fund (collectively the “Funds”) pursuant to an Investment Advisory Agreements dated as of December 28, 2009 (for the Epiphany FFV Focused Fund, Epiphany FFV Strategic Income Fund and Epiphany Large Cap Core Fund) and January 29, 2010 (for the Epiphany FFV Fund) (together the “Agreements”).

THIS AGREEMENT is made and entered into as of this 30th day of December, 2009, by and between Trinity Fiduciary Partners, LLC, (the “Adviser”), a Texas corporation registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”) located at 2214 Michigan Avenue, Suite E, Arlington, Texas 76013, and Dana Investment Advisors, Inc. (the “Subadviser”), a Wisconsin sub-chapter S corporation registered under the Advisers Act, located at 15800 Bluemound Rd., Suite 250, Brookfield, Wisconsin, with respect to each Fund listed on Schedule A hereto (each, a “Fund”), each a series of the Epiphany Funds, an Ohio statutory trust (the “Trust”).
