SONY CORPORATION (hereinafter referred to as the “Corporation”) and ___________________ (hereinafter referred to as the “Qualified Person”) enter into this Agreement as set forth in Exhibit 1 in connection with the allocation of the stock acquisition rights (hereinafter referred to as the “Stock Acquisition Rights”) to be issued by the Corporation pursuant to the provisions of the terms and conditions of the Stock Acquisition Rights (hereinafter referred to as the “Terms and Conditions”) set forth in Exhibit 2 attached hereto and pursuant to the special resolution adopted at the 95th Ordinary General Meeting of Shareholders held on June 27, 2012, the resolution adopted at the meeting of the Board of Directors held on October 31, 2012 and the determination of the Representative Corporate Executive Officer, President and CEO on November 14, 2012.
