FelCor Lodging Trust Incorporated, a corporation organized under the laws of the State of Maryland (the “Company”), proposes to sell to the underwriter named in Schedule I hereto (the “Underwriter”), for whom you (the “Representative”) are acting as representative, 1,398,000 depositary shares (the “Depositary Shares”), each representing 1/100 of a share of 8% Series C Cumulative Redeemable Preferred Stock, $0.01 par value, of the Company (the “Preferred Stock”). The Depositary Shares will be issued by SunTrust Bank (formerly SunTrust Bank, Atlanta), as Depositary (the “Depositary”), under a Deposit Agreement dated as of April 7, 2005, among the Company, the Depositary and the holders from time to time of the Depositary Receipts (as defined below) issued thereunder (as amended and supplemented from time to time, the “Deposit Agreement”) to be amended by that certain Supplement and Amendment to the Deposit Agreement, dated as of the Closing Date, the “Amendment to the Deposit Agreement”)

This Eighth Amendment to Second Amended and Restated Agreement of Limited Partnership of FelCor Lodging Limited Partnership (the “Partnership”) is made and entered into effective as of August 30, 2005, by and among FelCor Lodging Trust Incorporated, a Maryland corporation, as the General Partner (the “General Partner”) and all of the persons and entities who are, or shall in the future become, Limited Partners of the Partnership in accordance with the provisions of the Partnership Agreement (as hereinafter defined).
