ASSET PURCHASE AGREEMENT, dated as of May 7, 2012, by and among Quality Carriers, Inc. a corporation formed under the laws of Illinois (“Buyer”), Wylie Bice Trucking, LLC, a limited liability company formed under the laws of North Dakota (“Seller”) and Wylie C. Bice, the holder of all outstanding limited liability company membership interests of Seller (the “Member”).
