THIS AGREEMENT, dated as of December 17, 2021, between the Destinations Multi Strategy Alternatives Fund, a series of Brinker Capital Destinations Trust, (the "Acquiring Fund"), and Palm Valley Capital Fund, a series of Series Portfolios Trust (the "Acquired Fund" and together with the Acquiring Fund, the "Funds").
