This Subscription Agent Agreement (the “Agreement”) is entered into as of this 22nd day of July (the “Effective Date”), by and between, Mexico Equity and Income Fund, organized and existing under the laws of Maryland (the “Corporation”), and Broadridge Corporate Issuer Solutions, Inc., a corporation having its principal offices in Edgewood, New York (“Broadridge”).

This Letter of Agreement sets forth the terms and conditions under which The Mexico Equity and Income Fund, Inc. (MXE) agrees to retain InvestorCom LLC ("ICOM") as Information Agent during its Rights Offering (the Offer). The term of the Agreement shall be the term of the Offer, including extensions thereof.
