This AGREEMENT is made as of the 1st day of June 2021, by and among Brentview Investment Management, LLC, an Illinois limited liability company located at One Northfield Plaza, Suite 522, Northfield, IL 60093 (the “Sub-Adviser”), Semper Capital Management, L.P., a Delaware limited partnership located at 52 Vanderbilt Avenue, Suite 401, New York, NY 10017 (the “Manager”), and Advisors Series Trust, a Delaware statutory trust with its principal office located at 615 East Michigan Street, Milwaukee, WI 53202 (hereinafter called the “Trust”), on behalf of the series of the Trust indicated on Schedule A (the “Fund”).
