WHEREAS, the Company, a Maryland corporation, is registered as an investment company under the Investment Company Act of 1940 (the “1940 Act”) currently consisting of the series set forth on Exhibit A hereto, as such Exhibit may be revised from time to time (each, a “Fund”), and common shares of beneficial interest (hereinafter referred to as “shares”) have been registered under the Securities Act of 1933 (the “1933 Act”) to be offered for sale to the public in a continuous public offering in accordance with the terms and conditions set forth in the Company’s Prospectuses (collectively, the “Prospectus”) and Statement of Additional Information (“SAI”) included in the Company’s Registration Statement as they may be amended from time to time; and

This Investment Advisory Agreement (the “Agreement”) is made and entered into on this 1st day of March. 2017 by and between KEELEY FUNDS, INC., a Maryland corporation (the “Company”), and KEELEY-TETON ADVISORS, LLC, a Delaware limited liability corporation (the “Adviser”).

OPERATING EXPENSES LIMITATION AGREEMENT THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the 28th day of February, 2017, by and between Keeley Funds, Inc., a Maryland corporation, on behalf of its series, KEELEY All Cap Value Fund, KEELEY Mid Cap Dividend Value Fund, KEELEY Small Cap Dividend Value Fund, KEELEY Small Cap Value Fund, and KEELEY Small-Mid Cap Value Fund (each, a “Fund” and together, the “Funds”) and each of the Funds’ classes of shares listed on Appendix A (each, a “Class”), and the Funds’ investment adviser, Keeley-Teton Advisors, LLC (the “Adviser”).
