THIS AMENDED AND RESTATED INVESTMENT ADVISORY AGREEMENT (the “Agreement”) is made as of the 29th day of July, 2014, by and between USA Mutuals, a Delaware statutory trust (the “Trust”), on behalf of each series of the Trust listed in Schedule A attached hereto, as may be amended from time to time (each, a “Fund” and together, the “Funds”), and USA Mutuals Advisors, Inc., a Texas corporation (the “Advisor”).

This AMENDED AND RESTATED AGREEMENT (“Agreement”) is made this 29th day of July, 2014, between USA MUTUALS, a Delaware statutory trust (the “Trust”), on behalf of each series of the Trust (each, a Fund,” and collectively, the “Funds”), as indicated on Schedule A to this Agreement, as may be amended from time to time, and USA Mutuals Advisors, Inc., a Texas corporation (the “Advisor”).

THIS AMENDMENT dated as of July 29, 2014, to the Amended and Restated Distribution Agreement, originally made and entered into as of August 29, 2005, as amended and restated as of July 24, 2012 (the "Agreement"), is entered into by and among USA MUTUALS, a Delaware business trust, (the "Trust") and QUASAR DISTRIBUTORS, LLC, (the "Distributor") and USA MUTUALS ADVISORS, INC. f/k/a MUTUALS ADVISORS, INC. (the "Advisor").
