THIS INVESTMENT ADVISORY AGREEMENT is made as of the ___ day of ____, 2005, by and between ROCHDALE INVESTMENT TRUST, a Delaware business trust (hereinafter called the “Trust”), on behalf of the series of the Trust named in Appendix A to this Agreement (each a “Fund” or the “Funds”) and Rochdale Investment Management LLC a Delaware Limited Liability Company (hereinafter called the “Advisor”).
