THIS CREDIT AGREEMENT is dated to be effective as of March 30, 2007 among LECROY CORPORATION, a Delaware corporation (“Borrower”), each of the “Lenders” (as such term is defined below); and MANUFACTURERS AND TRADERS TRUST COMPANY, a New York banking corporation, as administrative agent for the Lenders (in such capacity, together with its successors in such capacity, the “Agent”).
