Financial Asset Securities Corp., a Delaware corporation (the “Company”), proposes to sell, and Greenwich Capital Markets, Inc. (“GCM” and the “Underwriter”) proposes to purchase, the aggregate principal amount (or notional amount, as applicable) of the Soundview Home Loan Trust 2007-NS1 Asset-Backed Certificates, Class A-1, Class A-2, Class A-3, Class A-4, Class M-1, Class M-2, Class M-3, Class M-4, Class M-5, Class M-6, Class M-7, Class M-8 and Class M-9 Certificates (the “Offered Certificates”) set forth opposite its name on Schedule I hereto. Only the Offered Certificates are being purchased by the Underwriter hereunder. The Offered Certificates, together with the Class M-10, Class C, Class P, Class R and Class R-X Certificates (collectively, the “Certificates)”, will be issued by the Company pursuant to a Pooling and Servicing Agreement (the “Pooling Agreement”), dated as of February 1, 2007, among the Company, as depositor (the “Depositor”), Nationstar Mortgage, LLC, as servicer
