This AMENDED and RESTATED 35 Basis Point Expense Contract, dated as of September 16, 2022, (the “Agreement”), is made and entered into by and between Fidelity California Municipal Trust II, a Delaware statutory trust which may issue one or more series of shares of beneficial interest (the “Trust”), on behalf of Fidelity California Municipal Money Market Fund (the “Fund”), and Fidelity Management & Research Company LLC, a Delaware limited liability company (the “Manager”).
