NPD, Inc. ("NPD") has entered into a Stock Purchase Agreement dated December 5, 1996, as amended (the "Purchase Agreement"), with Robert E. Brennan ("Seller") pursuant to which the Purchaser has agreed to purchase from the Seller 2,904,016 shares of the common stock, par value $2.00 per share, of International Thoroughbred Breeders, Inc.
