PRELIMINARY STATEMENT. The Borrower (formerly known as Manpower Inc.), the lenders party thereto and Citibank, as administrative agent, are parties to a Five Year Credit Agreement dated as of October 5, 2011 (the “Existing Credit Agreement”). Subject to the satisfaction of the conditions set forth in Section 3.01 hereof, the parties hereto agree to amend and restate the Existing Credit Agreement as herein set forth.
