This First Amendment to Employment Agreement (“First Amendment”) is made by and between Cyberonics, Inc., a Delaware corporation (the “Company”), Milton M. Morris, Ph.D. (“Executive”) to be effective on June 5, 2012 (the “Effective Date”).
