This Change of Control Severance Agreement (the "Agreement") was originally made and entered into by and between Patrick Harshman (the "Employee") and Harmonic Inc. (the "Company"), effective as of May 30, 2006, and amended on September 25, 2017. This Agreement is amended and restated, effective as of March 20, 2018, as set forth below.
