This Agreement (this "Agreement") is made as of this 28th day of January, 2013 by and between Black Box Corporation, a Delaware corporation (the "Corporation"), and Ronald Basso, an individual residing in the Commonwealth of Pennsylvania and an executive of the Corporation (the "Executive").
