THIS REAL ESTATE PURCHASE AND SALE AGREEMENT (this “Agreement”) is made and entered into this 30th day of September, 2005 by and between ESCANABA TIMBER LLC, a Delaware limited liability company whose principal business address is Courthouse Plaza N.E., Dayton, Ohio 45463 (“Seller”), and PLUM CREEK TIMBERLANDS, L.P., a Delaware limited partnership whose address is 999 Third Avenue, Suite 4300, Seattle, Washington 98104 (“Purchaser”). The parties agree to the following terms and conditions: 1. Timberlands and Other Property to be Acquired. 1.1. Description of Assets.
