Franklin Templeton Variable Insurance Products Trust (the "Trust"), Franklin/Templeton Distributors, Inc. (the "Underwriter," and together with the Trust, "we," "our," or "us"), Allianz Life Insurance Company of North America (the "Company" "you" or "your"), and Allianz Life Financial Services, LLC, your distributor, on your behalf and on behalf of certain Accounts, (individually a "Party", collectively, the "Parties") have previously entered into a Participation Agreement dated October 1, 2003, and subsequently amended May 3, 2004, April 29, 2005, May 1, 2006, May 1 2007, May 1, 2008 and September 23, 2010 (the "Agreement"). The Parties now desire to amend the Agreement by this amendment (the "Amendment"). Unless otherwise indicated, the terms defined in the Agreement shall have the same meaning in this Amendment.

THIS AGREEMENT is made as of the 28th day of April, 2014 by and among Allianz Life Insurance Company of North America, (the “Company”), a Minnesota life insurance company, on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A hereto as may be amended from time to time (each account hereinafter referred to as the “Account”), Premier Multi-Series VIT (the “Fund”), a Massachusetts business trust, and Allianz Global Investors Distributors LLC (the “Underwriter”), a Delaware limited liability company.
