This Executive Retention Agreement (the "Agreement") is effective as of February 21, 2007 (the "Effective Date"), by and between Stephen D. Seidel (the "Executive"), and Kinetic Concepts, Inc. ("KCI" or the "Company") (together the "Parties").

Where the context permits, references to the Company or any of its Subsidiaries or affiliates shall include the successors to the foregoing.
