THIS ASSET PURCHASE AGREEMENT, dated as of August 1, 2013, is made by and among Imperial Group, L.P., a Delaware limited partnership (“Seller”), Accuride Corporation, a Delaware corporation (“Parent”), and Imperial Group Manufacturing, Inc., a Delaware corporation (“Buyer”).
