THIS SUBSCRIPTION AGREEMENT (this "Agreement") is made as of September 30, 1997 by and between LTM Holdings, Inc., a Delaware corporation ("LTM"), and Universal Studios, Inc., a Delaware corporation ("Universal"). WHEREAS, Universal is a significant shareholder of Cineplex Odeon Corporation, an Ontario corporation ("Cineplex Odeon").
