We refer to the agreed form of draft Sale and Purchase Agreement (the "SPA") attached hereto as Schedule 1 (Share Purchase Agreement) by and between Seller, Promontoria Holding 192 B.V. ("Purchaser"), Staples Solutions B.V. (the "Target") and the Parent concerning the proposed acquisition by Purchaser, through its purchase of the Acquisition Shares and the Preferred Equity, of the retail, commercial and online business of the Parent and its Affiliates in Europe (except the UK Retail Business), all as described in more detail in the SPA (the "Proposed Transaction"). Capitalised terms used but not otherwise defined in this protocol (the "Protocol") shall have the same respective meanings as set forth in the SPA.
