THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is made as of the 19th day of November, 2007, by and between Cryptek, Inc., a Delaware corporation (the “Buyer”), and ION Networks, Inc., a Delaware corporation (the “Seller”).
