THIS FIVE-YEAR CREDIT AGREEMENT, dated as of October 25, 2010 (the “Agreement”) between SOUTH CAROLINA ELECTRIC & GAS COMPANY, a South Carolina corporation (the “Borrower”), the lenders identified herein and such other lenders as may hereafter become a party (the “Lenders”), and WELLS FARGO BANK, NATIONAL ASSOCIATION, as Administrative Agent, Issuing Bank and Swingline Lender (in such capacity and its successors and assigns, the “Agent”), BRANCH BANKING AND TRUST COMPANY, as Documentation Agent (the “Documentation Agent”) and BANK OF AMERICA, N.A. and MORGAN STANLEY SENIOR FUNDING, INC. as Co-Syndication Agents (the “Syndication Agents”).
