This REGISTRATION RIGHTS AGREEMENT, dated as of September 5, 2014 (this “Agreement”), is entered into by and between Magnetek, Inc., a Delaware corporation (the “Company”), and EVERCORE TRUST COMPANY, N.A., solely in its capacity as duly appointed and acting investment manager (the “Manager”) of a segregated account held in the Magnetek FlexCare Plus Retirement Plan Trust (the “Trust”) created under the Magnetek FlexCare Plus Retirement Pension Plan (the “Plan”).

Magnetek, Inc. (the “Company”) has agreed to make a voluntary excess contribution to the Magnetek FlexCare Plus Retirement Plan Trust (the “Trust”) created under the Magnetek FlexCare Plus Retirement Pension Plan of 250,000 shares of the Company’s Common Stock of $0.01 par value (the “Shares”). In order to accomplish such contribution, the Company hereby issues and transfers the Shares to the Trust. By executing this Contribution Agreement (the “Agreement”), Evercore Trust Company, N.A., as Investment Manager (the “Manager”) of a segregated account in the Trust, accepts the Shares on behalf of the Trust.
