This Management Retention Agreement (the “Agreement”) is made and entered into by and between Robert T. Dechant (the “Executive”) and 3Com Corporation (together with its subsidiaries and affiliates, “3Com” or the “Company”), effective as of April 19, 2006. 3Com and the Executive shall each individually be referred to herein as a “Party” and together as the “Parties.”
