This Limited Liability Company Agreement (the “Agreement”) of Oppenheimer Master Inflation Protected Securities Fund, LLC (the “Company”), dated as of May 19, 2010, is entered into by and among William L. Armstrong, George C. Bowen, Edward L. Cameron, Jon S. Fossel, Sam Freedman, Richard F. Grabish, Beverly L. Hamilton, Robert J. Malone, F. William Marshall Jr. and William F. Glavin, Jr. as the Directors of the Company, OppenheimerFunds, Inc., as the Organizational Member of the Company (“OFI”), and each person admitted from time to time as a member pursuant to Article XI (each individually a “Member” and collectively, the “Members”).
