This Participant Agreement (the “Agreement”) is made as of the 26th day of June, 2009 (effective January 1, 2009), between Capital City Bank Group, Inc., a Florida corporation (the “Company”), and «Associate» (“Participant”). Capitalized terms used and not otherwise defined herein shall have the meanings attributed thereto in the Capital City Bank Group, Inc. 2005 Associate Incentive Plan (the “Plan”).
