THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into as of this 7th day of May, 2012, and is effective as of June 6, 2012 (the “Effective Date”), by and between SUSQUEHANNA BANCSHARES, INC., a Pennsylvania corporation (the “Company”), and Michael W. Harrington, an adult individual whose principal residence is at 8346 Black Walnut Drive, East Amherst, NY 14051 (the “Employee”).
