THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) is entered this 2nd day of July, 2013 (the “Execution Date”), among CHESAPEAKE LOUISIANA, L.P., an Oklahoma limited partnership (“CLLP”), EMPRESS, L.L.C., an Oklahoma limited liability company (“ELLC”), EMPRESS LOUISIANA PROPERTIES, L.P., a Texas limited partnership (“ELP” and together with CLLP and ELLC, individually, a “Seller” and collectively, the “Sellers”), and EXCO OPERATING COMPANY, LP a Delaware limited partnership (the “Buyer”). The Buyer and the Sellers may be referred to herein collectively as the “Parties”, or individually as a “Party”.
