Stryker Corporation has entered into an Indemnification Agreement, dated as of October 24, 2007, with each of the members of its board of directors: John W. Brown; Howard E. Cox, Jr.; Donald M. Engelman; Louise L. Francesconi; Jerome H. Grossman; Stephen P. MacMillan; William U. Parfet; and Ronda E. Stryker. All such indemnification agreements are substantially identical in all material respects to the agreement attached hereto.
