THIS AGREEMENT AND PLAN OF MERGER (the "Agreement") is made as of the 9th day of February, 2006, by and between the Tax-Free National Fund series of Mosaic Tax-Free Trust, a Massachusetts business trust (the "Trust"), with its principal place of business at 550 Science Drive, Madison, Wisconsin 53711 (the "Acquiring Fund"), and the Tax-Free Missouri Fund series of the Trust (the "Selling Fund").
