Wisconsin Public Service Corporation, a corporation organized under the laws of Wisconsin (the "Company"), proposes to sell to the several underwriters named in Schedule II hereto (the "Underwriters"), for whom you (the "Representatives") are acting as representatives, the principal amount of its senior debt securities identified in Schedule I hereto (the "Senior Notes"), to be issued under an Indenture dated as of December 1, 1998, between the Company and Firstar Bank, N.A. (as successor to Firstar Bank Milwaukee, N.A.), as trustee (the "Senior Trustee"), as amended and supplemented to the Execution Time (the "Original Senior Indenture") and to be further supplemented by the Second Supplemental Indenture dated as of August 1, 2001, creating the series in which the Senior Notes are to be issued, a form of which is included as an exhibit to the Registration Statement (the "Supplemental Indenture to the Senior Indenture").
