This RIGHTS AGREEMENT, dated as of September 19, 2001, and amended on September 30, 2005, is entered into by U.S. Energy Corp., a Wyoming corporation (the "Company"), and Computershare Trust Company, Inc. as the Rights Agent. As amended pursuant to Section 26, (i) the Company has delivered to the Rights Agent a certificate signed by the president of the company and the Rights Agent has executed this Rights Agreement, as amended; and (ii) this Rights Agreement, as amended, remains effective as of September 19, 2001.
