This FIRST AMENDMENT TO BRAND LICENSING AGREEMENT (this “AMENDMENT”) dated as of June 28, 2010, is by and between Barricade Merger Sub, Inc., a Delaware corporation (“LICENSEE”), successor by merger to Brink’s Home Security Holdings, Inc.
