THIS AGREEMENT (this “Agreement”), dated as of December 5, 2010, is by and between Pfizer Inc., a Delaware corporation (the “Company”), and Jeffrey B. Kindler (the “Executive”). WHEREAS, Executive is currently employed as Chairman of the Board of Directors of the Company (the “Board”) and Chief Executive Officer of the Company; WHEREAS, the Company and Executive desire that Executive’s employment with the Company terminates, and that Executive resign from his position as Chairman of the Board, Chief Executive Officer and all other positions with the Company, its subsidiaries and affiliates on the date hereof (the “Termination Date”); and WHEREAS, the Company and Executive desire to set forth their respective rights and obligations in respect of Executive’s departure from the Company.
