THIS OMNIBUS AMENDMENT (this “Amendment”) TO EACH OF THAT CERTAIN Note Purchase and Private Shelf Agreement, dated as of March 21, 2001 (as amended by that certain Amendment, dated as of March 21, 2004, and as the same may be further amended, supplemented or otherwise modified from time to time, the “2001 Note Agreement”), between The Prudential Insurance Company of America (“Prudential”), Movado Group, Inc., a New York corporation (the “Company”), and the other Purchasers (as defined in the 2001 Note Agreement, the “2001 Purchasers”) party thereto AND THAT CERTAIN Note Purchase and Private Shelf Agreement, dated as of November 30, 1998 (as the same may be amended, supplemented or otherwise modified from time to time, the “1998 Note Agreement”; each of the 1998 Note Agreement and the 2001 Note Agreement a “Note Agreement” and, collectively, the “Note Agreements”; capitalized terms used herein but not otherwise defined herein shall have the meanings set forth in the respective Note Ag
