THIS FIFTH AMENDED AND RESTATED FINANCING AND SECURITY AGREEMENT (this “Agreement”) is made as of December 15, 2016, by and between GP STRATEGIES CORPORATION, a Delaware corporation (“GP” or the “US Borrower”), General Physics (UK) Ltd., a company organized and existing under the laws of England and Wales (“General Physics UK”), GP Strategies Holdings Limited, a company organized and existing under the laws of England and Wales (“GP Holdings UK”), GP Strategies Limited, a company organized and existing under the laws of England and Wales (“GP Strategies UK”) and GP Strategies Training Limited, a company organized and existing under the laws of England and Wales (“GP Strategies Training UK”) (each of General Physics UK, GP Holdings UK, GP Strategies UK and GP Strategies Training UK, individually a “UK Borrower” and collectively, the “UK Borrowers”), and WELLS FARGO BANK, NATIONAL ASSOCIATION, a national banking association (“Lender”).
