The parties hereto do hereby stipulate and agree to that the SERVICE AGREEMENT entered into by and between them under date of July 16, 1974, and as heretofore amended on April 27, 1984, August 1, 1988 (effective January 1, 1989), January 1, 1991, January 1, 1992, January 1, 1996, January 1, 1998, January 1, 1999, January 1, 2000, January 1, 2001, April 1, 2002, January 1, 2003, August 1, 2003, January 1, 2004, March 1, 2004, January 1, 2008, June 1, 2009, and January 1, 2011 be and the same hereby is further amended by substituting for the Supplement to Exhibit II to the SERVICE AGREEMENT, the attached revised Supplement to Exhibit II. This Amendment is made and entered into as of December 19, 2013.

Forbes (“Grantee”), is effective on January 2, 2013 (the “Effective Date”), as approved by the Personnel Committee of the Board of Directors of Entergy Corporation. For purposes of this Restricted Units Agreement (the “Agreement”), Company shall include any successor to its business and/or assets which assumes and agrees to perform this Agreement by operation of law or otherwise.
