This letter will serve as confirmation of our agreement to extend the terms of those certain Employment Agreements, each dated July 7, 1992 (the "Agreements"), by and between you and each of Emerson Radio (B.V.I.), Ltd., Emerson Radio (Hong Kong), Ltd., and Emerson Radio Corp. Under Section 1 of each of the Agreements, the "Term" as defined therein is to continue until July 7, 1997. This letter will confirm the agreement, effective as of the date of this letter agreement, between Emerson Radio Corp. ("Emerson") and Hi Quality International (U.S.A.) Inc.
