THIS LOAN AND SECURITY AGREEMENT is made on May 14, 2002, by and among THE DIXIE GROUP, INC. ("Borrower"), a Tennessee corporation with its chief executive office and principal place of business at 185 South Industrial Boulevard, Calhoun, Georgia 30701; EACH OF THE SUBSIDIARIES OF BORROWER as guarantors ("Guarantors"); the various financial institutions listed on the signature pages hereof and their respective successors and permitted assigns which become "Lenders" as provided herein; FLEET CAPITAL CORPORATION, a Rhode Island corporation with an office at 300 Galleria Parkway, Suite 800, Atlanta, Georgia 30339, in its capacity as collateral and administrative agent for the Lenders pursuant to Section 12 hereof (together with its successors in such capacity, "Agent"); GENERAL ELECTRIC CAPITAL CORPORATION, as Documentation Agent (the "Documentation Agent"); and CONGRESS FINANCIAL CORPORATION (SOUTHERN), as Co-Agent (the "Co-Agent").
