THIS AMENDMENT TO RESTRICTED STOCK UNIT AGREEMENT (this “Amendment”) between Associated Banc-Corp and the Grantee is effective upon the Grantee’s (as defined on the cover page delivered simultaneously with this Amendment) consent hereto.

In accordance with and subject to the terms of the Associated Banc-Corp 2013 Incentive Compensation Plan (the “Plan”) and this Agreement, the Committee granted to the person named as grantee (the “Grantee”) on the cover page delivered simultaneously with this Restricted Stock Unit Agreement (the “Cover Page”) an award of Restricted Stock Units (the Cover Page and this Restricted Stock Unit Agreement hereinafter referred to as this “Agreement”).
