This Escrow Agreement (this "Agreement"), dated as of __________, 2002, is made and entered into by and among The J. M. Ney Company, a Delaware corporation (the "Seller"), Deringer Acquisition Corp., an Illinois corporation (the A Buyer@), and U.S. Bank, N.A., as Escrow Agent (the "Escrow Agent").
