AGREEMENT (this “Agreement”) is made and entered into as of February 28, 2019 (the “Effective Date”) by and between PUBLIC UTILITY DISTRICT NO. 1 OF CHELAN COUNTY, WASHINGTON, a Washington public utility district (“Seller”), and MICROSOFT CORPORATION, a Washington corporation (“Buyer”). Seller and Buyer are sometimes hereinafter referred to individually as a “Party” and collectively as the “Parties.”
