This PURCHASE AND SALE AGREEMENT (this “Agreement”), is dated as of July 26, 2017 (the “Execution Date”), by and among Arabella Petroleum Company, LLC, a Texas limited liability company (“APC”), Arabella Exploration, LLC, a Texas limited liability company (“AEX,” and collectively with APC, “Seller”) and Diamondback E&P LLC, a Delaware limited liability company (“Purchaser”). Seller and Purchaser are sometimes referred to individually as a “Party” and collectively as the “Parties”.
