The Non-Disclosure Agreement (NDA), also called a confidentiality contract or confidentiality disclosure contract, is a legal agreement between the two parties that specifies confidential materials, knowledge, or information that the parties want to share for certain evaluation purposes, but is willing to limit wider use or dissemination. It is a contract through which the parties agree not to disclose information covered by the agreement. An NDA establishes a confidential relationship between the parties to protect any kind of confidential and proprietary information or trade secrets.
