This Settlement Agreement, dated as of September 16, 2019 (the “Settlement Agreement” or “Agreement”) is entered into between: (a) named Plaintiffs Arbuckle Mountain Ranch of Texas, Inc., Michele Cammack, Kuruvilla Chemmachel, and Charles McNutt (collectively, “Plaintiffs”), on behalf of themselves and the Settlement Class (defined below); and (b) Defendants Chesapeake Energy Corporation; Chesapeake Operating, L.L.C., formerly known as Chesapeake Operating, Inc.; Chesapeake Exploration, L.L.C., as successor by merger to Chesapeake Exploration, L.P.; Chesapeake Energy Marketing, L.L.C., formerly known as Chesapeake Energy Marketing, Inc.; and TOTAL E&P USA, INC. (collectively, the “Defendants”), and embodies the terms and conditions of the Settlement of the above-captioned action (the “Action”).1
